01 Acceptance of Terms

These Terms & Conditions (“Terms”) govern your use of shyphan.com and any service, proposal, statement of work (SOW) or AMC contract executed with Shyphan AI Solutions Pvt. Ltd. (“Shyphan”).

By using our website or engaging us for services, you agree to these Terms in full. If you do not agree, please do not use the site or engage our services.

02 Definitions

• “Services”, Zoho implementation, customisation, custom software development, AI automation, integration, training, AMC and any other deliverable expressly named in a SOW or proposal.
• “Client”, the entity that signs a SOW, accepts a quotation or contracts Shyphan in any form.
• “Deliverable”, anything produced under a SOW, including configurations, source code, documents, training material and access credentials.
• “Confidential Information”, any non-public information disclosed by either party in the course of the engagement.

03 Services We Provide

Shyphan provides Zoho-platform and custom software services as an Authorized Zoho Partner. Specific scope, deliverables, milestones, timelines and pricing are always documented in a signed SOW or accepted proposal. Anything not expressly listed in the SOW is out of scope.

04 Client Obligations

• Provide accurate business information, requirements and access credentials needed for delivery.
• Appoint a single point of contact (SPOC) with authority to take decisions and sign off deliverables.
• Review and provide feedback on each milestone within 5 business days. Silence past this window is treated as acceptance.
• Make payments per the agreed milestone schedule.
• Maintain the confidentiality of any credentials, NDA-covered materials and tooling we share.

05 Fees, Payment & Taxes

• Fees are stated in the SOW or proposal in INR / USD / AED / SAR / EUR depending on the contracting market.
• Indian clients are billed GST as applicable; GCC clients are billed VAT as applicable.
• Payment terms are typically 50% advance and 50% on milestone-based delivery unless explicitly agreed otherwise.
• Invoices are due within 7 days. Overdue invoices accrue interest of 1.5% per month or the maximum permitted by law, whichever is lower.
• All third-party platform license fees (e.g., Zoho subscriptions, AWS, OpenAI usage) are billed at cost and pass through to the Client unless the SOW says otherwise.

06 Intellectual Property

Pre-existing IP

Each party retains ownership of its pre-existing IP, including Shyphan's reusable libraries, code modules, scripts, frameworks and templates.

Custom deliverables

Subject to full payment, the Client receives a perpetual, worldwide, non-exclusive license to use custom deliverables built under the SOW for the Client's internal business purposes. Source code ownership transfers only when explicitly listed in the SOW.

Third-party platforms

Zoho, AWS, OpenAI, Anthropic and other third-party platforms remain the property of their respective owners. Their terms apply to the Client directly.

07 Confidentiality

Both parties agree to keep Confidential Information disclosed during the engagement private and to use it only for the engagement's purpose. This obligation survives for 3 years after termination of the engagement. Standard exceptions apply (information that is public, already known, independently developed, or required to be disclosed by law).

08 Warranties & Disclaimers

Shyphan warrants that Services will be performed in a professional and workmanlike manner, consistent with industry standards. For any deliverable, Shyphan will fix defects identified within 30 days of go-live at no additional cost, provided the defect arises from Shyphan's work and not from Client changes or third-party platform behaviour.

09 Limitation of Liability

To the maximum extent permitted by applicable law:

• Neither party will be liable for indirect, incidental, special or consequential damages, including loss of profits, revenue, data or business opportunity.
• Shyphan's aggregate liability for any claim arising under or related to an engagement is limited to the fees paid by the Client to Shyphan under the relevant SOW in the 12 months preceding the claim.
• Nothing in these Terms limits liability for fraud, wilful misconduct or anything that cannot be excluded by applicable law.

10 Indemnification

Each party will indemnify the other against third-party claims arising from its own breach of these Terms, its IP infringement, or its violation of applicable law, subject to prompt written notice and reasonable cooperation in the defence.

11 Termination

• Either party may terminate an engagement for material breach if the other party fails to cure the breach within 30 days of written notice.
• Either party may terminate for convenience with 30 days' written notice. Fees for work completed up to the effective termination date remain payable.
• On termination, each party returns or destroys the other's Confidential Information.

12 Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising under or in connection with these Terms shall be referred to arbitration in Noida, Uttar Pradesh, India under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually appointed. The language of arbitration shall be English.

For Clients contracted with Shyphan's UAE, Saudi or other regional entity, the governing law and venue stated in that entity's SOW will apply instead.

13 Acceptable Use

You agree not to:

• Reverse-engineer, decompile or attempt to extract source code from any deliverable beyond what is explicitly licensed.
• Use our services to violate any law, infringe IP rights, or send spam / unlawful content.
• Interfere with the security or availability of our website or services (DDoS, scraping at abusive rates, vulnerability probing without prior written consent).

14 Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to active Clients by email at least 14 days before they take effect. Continued use of our website or services after the effective date constitutes acceptance of the revised Terms.
